1. Services Description

Alliance Win Wire provides AWS partnership consulting services, including but not limited to:

• AWS Partnership Assessment and analysis
• Strategic consulting for AWS marketplace and co-sell opportunities
• Partnership acceleration services
• Educational content and resources related to AWS partnerships
• Other consulting services as may be offered from time to time

2. Proprietary Rights

As between you and us, we own, solely and exclusively, all rights, title and interest in and to the Website, all content, data, assessments, methodologies, intellectual property, and materials thereon, the look and feel, design and organization of the Website, and the compilation of the content and materials on the Website, including but not limited to any copyrights, trademark rights, database rights, moral rights, other intellectual property and proprietary rights therein. Your use of the Website or Services does not grant you ownership of any content, data, methodologies, or materials you may access on or through the Website or receive through our Services.

3. Limited License

You may access and view the content on the Website for your personal or internal business use only. Any use of our proprietary methodologies, assessments, or consulting materials outside of the scope of our engagement requires express written permission.

4. Prohibited Use

Any commercial or promotional distribution, publishing, or exploitation of the Website, or any content, methodologies, assessments, or materials on the Website or provided through our Services, is strictly prohibited unless you have received express prior written permission from us. You may not download, post, display, publish, copy, reproduce, distribute, transmit, modify, perform, broadcast, transfer, create derivative works from, sell, or otherwise exploit any proprietary content, methodologies, assessments, or materials on or available through the Website or Services.

5. Consulting Services Terms

5.1 Engagement

Specific consulting engagements shall be governed by separate written agreements that incorporate these Terms by reference. In the event of any conflict between these Terms and a separate written agreement, the separate written agreement shall control.

5.2 Confidentiality

Both parties acknowledge that they may have access to certain confidential information of the other party. Each party agrees to maintain the confidentiality of such information and not to disclose it to third parties without prior written consent, except as required by law.

5.3 Results and Recommendations

Our consulting services involve analysis, recommendations, and strategic guidance. Results are not guaranteed, and actual outcomes may vary based on numerous factors beyond our control, including but not limited to market conditions, implementation approach, and third-party decisions.

6. User Information and Assessment Data

In the course of your use of the Website and Services, you may be asked to provide certain information, including through our AWS Partnership Assessment ("User Information"). Our information collection and use policies with respect to the privacy of such User Information are set forth in the Website's Privacy Policy, which is incorporated herein by reference. You acknowledge and agree that you are solely responsible for the accuracy and content of User Information and Assessment responses.

7. Submitted Materials

Unless specifically requested or covered by a separate confidentiality agreement, we do not solicit nor do we wish to receive confidential, secret, or proprietary information from you through the Website, by email, or in any other way outside of formal consulting engagements. Any information, ideas, suggestions, concepts, or other materials submitted to us through general website contact forms or similar channels ("Submitted Materials") will be deemed not to be confidential or secret.

For Assessment data and materials submitted through formal consulting engagements, such materials shall be governed by the applicable confidentiality provisions in our engagement agreement.

8. Prohibited User Conduct

You warrant and agree that, while using the Website or Services, you shall not:

• Impersonate any person or entity or misrepresent your affiliation with any other person or entity
• Use, redistribute, republish, or exploit content or services for unauthorized commercial purposes
• Attempt to gain unauthorized access to other computer systems through the Website
• Engage in any activity that could interfere with or disrupt the Website or Services
• Use the Website or Services in violation of any applicable law or regulation
• Reverse engineer, decompile, or attempt to extract proprietary methodologies or assessment algorithms

You agree to defend, indemnify, and hold us and our affiliates and our affiliates' directors, officers, employees, and agents harmless from any and all claims, liabilities, costs, and expenses, including attorneys' fees, arising in any way from your use of the Website or Services, your breach or violation of the law or of these Terms, or any misrepresentation in information you provide to us.

You acknowledge and agree that we have no responsibility for the information, content, products, services, or other materials provided by or through Linked Sites. Any references to AWS, AWS programs, or AWS partnerships are for informational and educational purposes. Results from our consulting services depend on many factors and are not guaranteed.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Nevada, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

16. International Users and Compliance

If you are accessing our Website or Services from outside the United States, you are responsible for compliance with local laws. For users in the European Economic Area (EEA) or United Kingdom, additional rights may apply under the General Data Protection Regulation (GDPR) as described in our Privacy Policy.
